Section 347A Annual Solvency Resolution & Form 485 Rules
Every proprietary company that does not lodge financial reports must pass a formal solvency resolution within 2 months of its annual review date. Directors must affirmatively state whether there are reasonable grounds to believe the company can pay its debts when due.
